Terms of Service

1. Agreement to Terms

By accessing or using Harpoon ("Service"), operated by Harpoon Labs ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including merchants, developers, and any other individuals who access or use the Service.

2. Description of Service

Harpoon is a payment verification infrastructure that helps merchants verify Mobile Money (MoMo) payments. Our Service:

• Verifies payments received via SMS on your registered devices
• Provides APIs and webhooks for integrating payment verification into your applications
• Offers a dashboard for viewing and managing verified payments
• Generates payment links and reference codes for transaction verification

Important: Harpoon is NOT a payment processor. We do not handle, process, or hold any funds. All payments are made directly between your customers and your Mobile Money accounts.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years old or the age of legal majority in your jurisdiction
• Have the legal authority to enter into these Terms
• Accept these Terms of Service and our Privacy Policy

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. SMS Access and Permissions

To provide payment verification services, our mobile application requires permission to read SMS messages on your registered device(s). By using the Service, you:

• Grant us permission to read SMS messages for payment verification purposes
• Understand that we only process messages from known Mobile Money providers (MTN, Telecel, AirtelTigo)
• Acknowledge that we do not read personal messages unrelated to Mobile Money transactions
• Confirm that you have the legal right to grant access to SMS on your device(s)

5. Acceptable Use

You agree NOT to use the Service to:

• Engage in any illegal activities or violate any applicable laws
• Facilitate fraud, money laundering, or terrorist financing
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to process payments for prohibited goods or services
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written consent

6. Payment and Billing

The Service offers various subscription plans. By subscribing to a paid plan:

• You agree to pay all applicable fees as described on our pricing page
• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We may change our pricing with 30 days notice
• Failure to pay may result in suspension or termination of your account

We charge zero transaction fees on payments verified through our platform. You only pay the subscription fee for your chosen plan.

7. Service Availability

We strive to maintain high availability of the Service. However:

• We do not guarantee 100% uptime or uninterrupted access
• The Service may be temporarily unavailable for maintenance or updates
• We are not responsible for delays or failures caused by factors beyond our control
• SMS verification depends on your device's connectivity and SMS reception

8. Data Accuracy

While we strive for accuracy in payment verification:

• We do not guarantee 100% accuracy in SMS parsing or transaction verification
• You should verify critical transactions through your Mobile Money account
• We are not liable for decisions made based on verification results
• You are responsible for reconciling discrepancies with your customers

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not responsible for disputes between you and your customers
• We are not liable for any losses resulting from payment fraud or fake payment claims
• Our total liability shall not exceed the fees paid by you in the preceding 12 months

The Service is provided "as is" without warranties of any kind, either express or implied.

10. Indemnification

You agree to indemnify, defend, and hold harmless Harpoon Labs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws
• Any disputes between you and your customers

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Non-payment of fees
• Request by law enforcement or government agencies

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ghana.
